Here's a quick summary of what transpired at our special meeting of the 
Brick House board of directors Tuesday night:

At 9 p.m., Tuesday night, July 17, the board of directors of Brycc House 
Inc. held a special called meeting for the purpose of considering a 
resolution proposed by the members of the board's radio committee and 
any other matters which might help resolve the differences among the 
members of the board. Present were Christina Baldon, Edward Elam, John 
Hicks, Dave Morrison, Kristin Shelor, and Meg Stern. Brent Tinnell was 
out of town and assigned his vote by proxy to Dave Morrison. Anita 
Solomon, a member of the radio governing board, was also in attendance.

Because there was no one from the radio committee present to introduce 
the resolution, Dave Morrison agreed to introduce it and Edward Elam 
seconded it so that it could be discussed.

The proposed resolution was:

"The amendment to the bylaws of Brycc House, Inc. passed by the Brycc 
House Board earlier this year established the Radio Committee for the 
purposes of operating the WXBH radio project. This amendment established 
”the WXBH LPFM Radio Committee for the purposes of operating the WXBH 
92.7 Radio project on behalf of the Corporation ...”. The current Brycc 
House Board of Directors recognizes that the Radio Committee is the sole 
management team for the WXBH project and has full authority for all 
operating, financial, and administrative decisions regarding the WXBH 
project, as set forth in the Brycc House, Inc. bylaws.

"The WXBH Radio Committee membership, as currently composed, shall 
remain in place until June 1, 2008."

After about an hour and a half of discussion, the motion failed 0-5 with 
one abstention. Edward Elam, who had voted against the motion, then 
moved to reconsider the motion and to table it until a future time so 
that it could be debated and amended with members of the radio committee 
present. The motion to table passed 5-1.

John Hicks then introduced the following resolution:

"The directors recognize that our by-laws provide for a standing radio 
committee whose responsibility has been to establish a radio governing 
board. We recognize the radio governing board as the governing body of 
radio, provided its members continue to be actively involved in the 
radio project. We believe that future members of the governing board 
should be drawn from the active members of the Radio Collective.

"We strongly support the establishment and operation of a studio within 
the primary signal coverage area of WXBH-LP provided there are funds to 
pay for it.

"We welcome any offers of space and/or money to enable the installation 
and operation of such a studio.

"We strongly support the establishment of a radio studio at the Brick 
House."

The motion was seconded and passed unanimously.

The meeting was then adjourned at 10:45 p.m.
