To the Chairman, Board of Directors, Brycc House, Inc.

From:  WXBH Radio Committee

We, the undersigned members of the Brycc House Board of Directors and  
the WXBH Radio Committee, held an emergency meeting to review the  
events of last Thursday’s (July 12) Brycc House Board meeting.  Those  
events signaled to us that the radio project is at a crossroads.  Our  
continued participation in this project and on the Board of Directors  
is contingent upon approval of items 1 and 2 below:

1.  The amendment to the bylaws of Brycc House, Inc. passed by the  
Brycc House Board earlier this year established the Radio Committee  
for the purposes of operating the WXBH radio project.  This amendment  
established ”the WXBH LPFM Radio Committee for the purposes of  
operating the WXBH 92.7 Radio project on behalf of the  
Corporation ...”.  The current Brycc House Board of Directors  
recognizes that the Radio Committee is the sole management team for  
the WXBH project and has full authority for all operating, financial,  
and administrative decisions regarding the WXBH project, as set forth  
in the Brycc House, Inc. bylaws.

2.  The WXBH Radio Committee membership, as currently composed, shall  
remain in place until June 1, 2008.

As the members of the Radio Committee, we request that the Chair of  
the Brycc House Board of Directors submit this proposal immediately  
to the Brycc House Board of Directors for a vote. We further request  
that the voting be completed by noon on Wednesday, July 18, as there  
are radio project management decisions in process that have an  
imminent deadline.  In view of the short time frame, we request an on- 
line vote.  Failure to submit this proposal to the Brycc House Board  
for a vote pursuant to the deadline mentioned above shall be  
considered a rejection of the proposal.
